In consideration of the terms, conditions and covenants between the parties contained herein and intending to be legally bound hereby, P.R.I.D.E. SECURITY GROUNDS LLC, (hereafter known as the PSG) agrees, pursuant to the request of the client (hereafter known as the Client), to furnish: Security consulting and/or security protective services as may be requested by the Client during the term of this agreement. This representation will include the fee agreement (delineated below) and the scope of services to be rendered, orally agreed to and stated below, between the Firm and the Client.

Protective Services Rates and Fees:

Personal Protection Officer: $85 per hour with 4 hour minimum billing periods per officer.

Security Vehicle rate: $150 an hour with 4 hour minimum billing periods per vehicle.

Day rate: $900 + tax for up to 12 hours. After 12 hours, client will pay $85 per hour following the 12 hours.

Per Diem: $75 per day if traveling greater than 50 miles from home or provided hotel.

Cancellation:

• If a request is canceled within 48 hours prior to the start time of the project, the full amount of days will be billed, minimum of 4 hours; any non-refundable expenses will be charged.

• If an assignment or work order is canceled within 7 days prior to the start time of the project, ½ of the assigned days will be billed, minimum of 2 hours; any non-refundable expenses will be charged.

• If an assignment or work order is canceled in excess of 7 days prior to the start time of the project, none of the assigned days or hours will be billed; any non-refundable expenses will be charged.
